End User License Agreement
IMPORTANT: All products sold by Atlas Health Collective are designated “For Research Use Only” (RUO). By purchasing, you agree to the terms below.

Agreement to Terms
This End User License Agreement (“Agreement”) is a legally binding contract between you (“Buyer,” “User,” or “you”) and Atlas Health Collective LLC (“Company,” “we,” or “us”), a limited liability company organized under the laws of the State of Arizona. By creating an account, placing an order, or using any product purchased through our website, you acknowledge that you have read, understood, and agree to be bound by all terms set forth in this Agreement. If you do not agree, you must not purchase or use our products.
Eligibility and Buyer Representations
By placing an order, you represent and warrant that:
- You are at least 18 years of age and legally capable of entering into a binding agreement.
- You are purchasing products solely for lawful personal research, educational study, or in-vitro laboratory investigation purposes.
- You will not use any product for human clinical diagnosis, therapeutic administration, drug compounding, or any application requiring FDA pre-market approval.
- You are not purchasing on behalf of any entity that intends to resell, rebrand, adulterate, or redistribute the products without prior written consent from the Company.
- You understand that our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) and are not marketed, labeled, or intended as drugs, biologics, medical devices, or dietary supplements as defined under the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.).
- You will comply with all applicable federal, state, and local laws regarding the possession, use, and handling of research materials.
Research Use Only (RUO) Designation
All products sold through this website are classified as Research Use Only (RUO) materials. This designation means:
- Products are intended solely for non-clinical research, in-vitro experimentation, educational demonstration, and personal investigational study.
- Products are not approved, cleared, or authorized by the FDA for use in clinical procedures, diagnostic testing, or therapeutic treatment of humans or animals.
- No product listing, description, marketing material, educational content, or employee statement shall be construed as a medical claim, health claim, or implied endorsement of any therapeutic use.
- The Company does not provide medical advice, and no information on this website should be interpreted as such.
Any reference to published research, scientific literature, or biological mechanisms is provided for informational and educational context only and does not constitute a product efficacy claim.
FDA Compliance Disclaimer
Atlas Health Collective operates in full compliance with applicable federal regulations regarding research materials. Specifically:
- Our products have not been evaluated by the FDA under 21 CFR Parts 210, 211, or 212.
- We do not make any claims that our products can diagnose, treat, cure, mitigate, or prevent any disease or medical condition.
- Product labels and website content include prominent RUO and FDA disclaimer language as required by industry best practices.
- We do not operate as a pharmacy, compounding facility, or drug manufacturer as defined under federal or Arizona state law.
- Products are not manufactured under Current Good Manufacturing Practice (cGMP) regulations applicable to finished pharmaceuticals, unless otherwise explicitly stated on individual product documentation.
Prohibited Uses
You expressly agree that you will NOT use any product purchased from Atlas Health Collective for:
- Human or animal therapeutic administration, injection, infusion, implantation, or any clinical application.
- Compounding, formulating, or manufacturing any product intended for human consumption or clinical use.
- Any purpose that would classify the product as a drug, biologic, or medical device under FDA regulations.
- Resale to end consumers without appropriate RUO labeling and compliance documentation.
- Any use prohibited by federal, state, or local law, including the Controlled Substances Act where applicable.
- Misrepresenting the nature or intended use of products to any third party, financial institution, or regulatory body.
Violation of these prohibited uses may result in immediate account termination, order cancellation, and referral to appropriate regulatory or law enforcement authorities.
Payment, Invoicing, and Financial Compliance
All transactions are processed through our secure invoicing system powered by Intuit QuickBooks. By completing a purchase, you acknowledge and agree that:
- All payment information is collected, processed, and stored by our third-party payment processor in compliance with PCI-DSS (Payment Card Industry Data Security Standard) requirements.
- We do not store credit card numbers, CVVs, or full payment credentials on our servers.
- All invoices are generated with coded product identifiers and category descriptions consistent with legitimate research supply merchant category codes (MCCs).
- Transactions may be subject to review, verification, or holds by our payment processor or your financial institution as part of standard fraud prevention and anti-money laundering (AML) procedures.
- We reserve the right to cancel any transaction that we reasonably believe is fraudulent, violates this Agreement, or poses a risk to our payment processing relationships.
- Refunds, when authorized per our Refund Policy, will be issued to the original payment method within a commercially reasonable timeframe.
Assumption of Risk and Indemnification
By purchasing and using products from Atlas Health Collective, you expressly acknowledge and assume all risks associated with the handling, storage, and use of research materials. You agree to:
- Handle all products in accordance with proper laboratory safety protocols and material safety data sheet (MSDS/SDS) guidelines where applicable.
- Indemnify, defend, and hold harmless Atlas Health Collective LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of any product, your violation of this Agreement, or your violation of any applicable law or regulation.
- Accept that the Company bears no liability for any adverse effects, injury, damage, or loss resulting from the use, misuse, or improper handling of any product.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Company's total aggregate liability for any claims arising under or related to this Agreement shall not exceed the total amount paid by you for the specific product(s) giving rise to the claim.
- In no event shall the Company be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses.
- The Company makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- All products are provided “AS IS” and “AS AVAILABLE” without warranty of any kind.
Intellectual Property
All content on this website, including but not limited to text, graphics, logos, images, product names, formulation names, protocol names, branding elements, and software, is the exclusive property of Atlas Health Collective LLC and is protected by U.S. and international copyright, trademark, and intellectual property laws. Unauthorized reproduction, distribution, modification, or commercial use of any Company intellectual property is strictly prohibited and may result in civil and criminal penalties.
Account Termination
We reserve the right to suspend or terminate your account, refuse any order, and restrict access to our website at our sole discretion, without prior notice, for any reason, including but not limited to: breach of this Agreement, suspected misuse of products, fraudulent activity, or any conduct that we determine may harm the Company, its partners, or the integrity of our platform.
Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement or the purchase or use of any product shall be resolved through the following process:
- Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting support@atlashealthcollective.com. The parties agree to negotiate in good faith for a period of thirty (30) days.
- Binding Arbitration: If informal resolution fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Maricopa County, Arizona.
- Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. To the extent that litigation is permitted under this Agreement, you consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.
Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
Modifications to This Agreement
We reserve the right to modify this Agreement at any time. Material changes will be posted on this page with an updated effective date. Your continued use of our website or purchase of products following any modification constitutes your acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically.
Entire Agreement
This Agreement, together with our Terms of Service, Privacy Policy, Refund Policy, and FDA Disclaimer, constitutes the entire agreement between you and Atlas Health Collective LLC with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
